Terms and Conditions for Users Looking for an Attorney

These Terms and Conditions for Users (“Terms”) constitute an agreement between ITS Solutions USA, LLC, doing business as Askatto (“Askatto,” “we,” “us,” or “our”), and each individual who accesses or uses Askatto to ask questions, communicate with attorneys, or seek information concerning legal services (“User,” “you,” or “your”).
By creating an account, accessing, or using Askatto, you acknowledge that you have read, understood, and agree to these Terms.
1. About Askatto
1.1 Technology Platform
Askatto is a technology platform designed to facilitate communications between people seeking information concerning legal matters and independent attorneys participating on the platform.
Through Askatto, Users may be able to:
- submit questions concerning legal matters;
- receive responses from participating attorneys;
- communicate with attorneys through the platform; and
- choose whether to exchange contact information or communicate further with an attorney.
1.2 Askatto Is Not a Law Firm
Askatto is not a law firm and does not practice law.
Askatto does not provide legal advice, legal representation, or legal services.
Information provided by Askatto itself should not be considered legal advice.
Participating attorneys are independent legal professionals and are not employees, agents, partners, or representatives of Askatto.
1.3 No Florida Bar Endorsement
Neither Askatto nor an attorney’s participation in Askatto is intended to imply certification, recommendation, endorsement, or approval by The Florida Bar or any other bar association, court, or governmental authority.
This distinction is important because Rule 4-7.22 expressly prohibits qualifying providers from representing or implying Florida Bar approval or endorsement.
2. Eligibility and User Accounts
You must provide accurate information when creating and maintaining an Askatto account.
You are responsible for maintaining the confidentiality of your account credentials and for activity occurring through your account.
You may not impersonate another person, create an account using false information, or use Askatto for fraudulent, unlawful, abusive, or misleading purposes.
If you are under the age required to enter into a binding agreement in your jurisdiction, you may use Askatto only as permitted by applicable law and with any required involvement or consent of a parent or legal guardian.
3. Asking Questions
3.1 Information You Provide
You are responsible for the information you submit through Askatto.
You should provide sufficient and accurate information for an attorney to understand the general nature of your question while avoiding unnecessary disclosure of highly sensitive information.
3.2 Anonymous Questions
Askatto may permit Users to submit questions or initially interact with attorneys without publicly displaying their identity or contact information.
Anonymous use of Askatto does not guarantee that information you provide can never identify you.
Details concerning a legal matter may themselves reveal or suggest your identity.
3.3 Emergencies and Deadlines
Do not rely on Askatto for emergencies or urgent legal deadlines.
Legal rights can be affected by statutes of limitation, filing deadlines, court dates, administrative deadlines, contractual deadlines, and other time-sensitive requirements.
Askatto does not monitor your legal deadlines and does not guarantee that an attorney will respond to a question within any particular period.
If your matter is urgent, you should independently contact an appropriate attorney or other appropriate service.
4. Attorney Responses
Responses displayed through Askatto are provided by participating attorneys, not by Askatto.
Askatto does not write, direct, control, approve, or adopt an attorney’s legal response.
Legal information provided by an attorney may depend heavily on facts and circumstances not included in your question.
You should not assume that a general response applies completely to your individual situation.
5. Connecting With an Attorney
Askatto may allow you to communicate further with an attorney or voluntarily exchange contact information.
You are free to decide whether you wish to contact, communicate with, or retain any participating attorney.
Askatto does not require you to hire an attorney who responds to your question.
When Askatto makes a referral, match, or other connection to a participating Florida attorney, Askatto may display the city, town, or county of the attorney’s bona fide office as required by applicable Florida Bar rules.
6. Attorney Licensing
For matters constituting the practice of law in Florida, Askatto’s platform is intended to connect prospective clients only with persons lawfully permitted to practice law in Florida.
The Florida Bar specifically requires this of qualifying providers.
Attorneys remain individually responsible for maintaining their licenses and determining whether they may provide legal services concerning a particular matter or jurisdiction.
7. No Automatic Attorney-Client Relationship
Using Askatto does not create an attorney-client relationship between you and Askatto.
Askatto cannot represent you.
Submitting a question through Askatto also does not necessarily establish an attorney-client relationship between you and an attorney who reads or responds to the question.
Whether an attorney-client relationship is formed between you and an attorney depends upon your communications, agreements and conduct with that attorney and applicable law and professional rules.
If you retain an attorney, the attorney may require a separate engagement or representation agreement.
Askatto is not a party to that agreement.
8. Confidentiality and Sensitive Information
This is one of the sections missing from your existing Terms that I consider particularly important.
Do not assume that merely submitting information through Askatto automatically creates attorney-client privilege or an attorney-client relationship.
Before an attorney has agreed to represent you, you should use care when providing confidential, privileged, financial, medical, immigration, identification, or other highly sensitive information.
Do not submit information such as passwords, complete Social Security numbers, full financial-account numbers, or other information that is unnecessary for your initial question.
An attorney may need additional information to perform a conflict-of-interest check before discussing your matter in greater detail.
Askatto’s collection and handling of personal information is also governed by the Askatto Privacy Policy.
9. Choosing an Attorney
You are solely responsible for deciding whether to retain a particular attorney.
You should consider whatever factors are important to you, which may include the attorney’s experience, practice areas, office location, licensing, fees, communication style, and your own assessment of the attorney.
An attorney’s participation on Askatto does not constitute an endorsement or guarantee by Askatto concerning that attorney.
10. Legal Fees and Representation
Askatto does not establish the legal fees charged by participating attorneys.
If you choose to retain an attorney, you and the attorney are responsible for determining the scope of representation, legal fees, expenses, payment arrangements, and other terms of the attorney-client relationship.
Unless Askatto expressly introduces a separate payment feature in the future, payments for legal services are made independently between you and the attorney.
Askatto is not a party to disputes concerning an attorney’s legal fees or legal representation.
11. No Guarantee of Response or Outcome
Askatto does not guarantee that:
- an attorney will respond to your question;
- a response will occur within a particular period;
- an attorney will agree to represent you;
- a participating attorney is appropriate for your particular circumstances;
- you will obtain a particular legal result; or
- information supplied by an attorney will produce a particular outcome.
12. Attorney Independence
Attorneys participating on Askatto exercise their own independent professional judgment.
Askatto does not direct an attorney regarding what legal advice to provide, whether to accept a User as a client, what legal strategy to pursue, or what legal fees to charge.
Florida’s qualifying-provider framework specifically protects participating lawyers’ professional independence.
13. User Conduct
You may not use Askatto to:
- engage in unlawful, fraudulent, threatening, harassing, or abusive conduct;
- impersonate another person;
- intentionally submit materially false information;
- interfere with the security or operation of Askatto;
- attempt unauthorized access to accounts, systems, or information;
- distribute malicious software or code;
- infringe intellectual-property or privacy rights; or
- use the platform for purposes inconsistent with applicable law.
Askatto may remove content or restrict access where reasonably necessary to enforce these Terms, protect users or attorneys, maintain platform security, or comply with law.
14. Communications and Notifications
By using Askatto, you acknowledge that communications relating to your account and platform activity may be delivered electronically, including through the application or email, subject to applicable law and your communication preferences.
You are responsible for maintaining current contact information associated with your account.
15. Intellectual Property
The Askatto platform, software, name, logos, interfaces, graphics, designs, and other proprietary materials are owned by ITS Solutions USA, LLC or its licensors and are protected by applicable intellectual-property laws.
Your use of Askatto provides you only a limited, revocable, non-exclusive right to use the platform in accordance with these Terms.
16. Privacy
Your use of Askatto is subject to the Askatto Privacy Policy.
The Privacy Policy should explain what information Askatto collects, how information submitted in questions and chats is processed and disclosed, data retention, account deletion, and applicable privacy rights.
We need to review that policy next because this Terms document should not make promises inconsistent with the actual app architecture.
17. Third-Party Services
Askatto may depend upon third-party services such as mobile operating systems, app stores, hosting providers, communications infrastructure, analytics services, and other technology providers.
Askatto is not responsible for interruptions or failures of third-party services outside its reasonable control.
18. Disclaimer of Warranties
To the fullest extent permitted by applicable law, Askatto is provided on an “as is” and “as available” basis.
Askatto does not warrant that the platform will always be available, uninterrupted, error-free, or completely secure.
Askatto does not warrant or guarantee the accuracy, completeness, or applicability of information supplied by participating attorneys.
Nothing provided by Askatto itself constitutes legal advice.
19. Limitation of Liability
To the fullest extent permitted by applicable law, ITS Solutions USA, LLC and its officers, managers, employees, contractors, affiliates, and agents will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages arising from or relating to use of Askatto or services independently provided by participating attorneys.
Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.
As with the attorney agreement, I have deliberately not invented a dollar liability cap to replace the [specify amount] placeholder currently on your website. A Florida attorney reviewing the final contract can determine whether you should have one and how it should be drafted.
20. Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless ITS Solutions USA, LLC and its officers, managers, employees, contractors, and affiliates from third-party claims arising from your unlawful use of Askatto, material violation of these Terms, or infringement of another person’s rights.
This provision does not require indemnification where prohibited by applicable law.
21. Suspension and Termination
You may discontinue using Askatto at any time.
Askatto may suspend or terminate access where reasonably necessary because of violation of these Terms, suspected fraud or unlawful activity, security concerns, abuse of users or attorneys, or legal/regulatory requirements.
Termination of an Askatto account does not terminate an attorney-client relationship you may have independently established with an attorney.
22. Changes to These Terms
Askatto may modify these Terms from time to time.
For material changes, Askatto may provide notice through the application, website, email, or another reasonable method.
Your continued use after revised Terms become effective constitutes acceptance to the extent permitted by applicable law.
23. Governing Law
These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-law principles, except where applicable law requires otherwise.
24. Disputes and Venue
Unless otherwise required by applicable law or separately agreed in writing, disputes arising from these Terms will be brought in a court of competent jurisdiction in Broward County, Florida, subject to applicable jurisdiction and venue requirements.
Again, I’m intentionally not inserting mandatory arbitration into the template without having a Florida attorney determine whether and how you want arbitration, class-action waiver, opt-out rights, etc.
25. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain effective to the fullest extent permitted by law.
26. Entire Agreement
These Terms, together with policies expressly incorporated by reference, constitute the agreement between you and Askatto concerning your use of the platform and supersede previous user terms concerning the same subject matter.
